1. Assumption of Risk

I acknowledge that participation in any B2B ᴄʏᴄʟɪɴɢ xᴘ® experience, tour, event, gran fondo, private ride, multi-day program, or related activity involves inherent, obvious, and significant risks that cannot be completely eliminated, regardless of the level of planning, route support, medical presence, event organization, travel coordination, lodging arrangements, or safety measures adopted by the organizers, affiliated entities, local operators, service providers, sponsors, staff, guides, volunteers, contractors, or any other involved parties.

I understand and accept that these risks include, without limitation, death, serious injury, permanent disability, temporary incapacity, illness, dehydration, heat-related conditions, altitude-related conditions, cardiac events, collisions, falls, road hazards, poor road conditions, uneven surfaces, gravel, potholes, animals, mechanical failure, equipment malfunction, rider error, negligent acts or omissions of other participants or third parties, vehicular traffic, weather conditions, reduced visibility, route changes, unfamiliar terrain, delays in emergency response or access to medical treatment, and risks associated with transportation, lodging, support vehicles, bicycle loading and unloading, and travel-related movements before, during, and after the applicable activity.

I further understand that B2B ᴄʏᴄʟɪɴɢ xᴘ® experiences may include endurance cycling events, private rides, guided tours, multi-day programs, support services, lodging-related activities, route segments on open or partially controlled roads, remote areas, changing weather conditions, and circumstances where immediate medical attention, evacuation, mechanical support, hydration, nutrition, traffic control, or neutral assistance may be delayed, limited, unavailable, or insufficient for my individual needs.

I voluntarily and expressly assume all risks, whether known or unknown, inherent or non-inherent, ordinary or extraordinary, and whether arising before, during, or after the applicable activity, including risks associated with travel to and from the experience, pre-event or pre-ride activities, on-course participation, support services, aid stations, transfers, lodging transitions, warm-up or cool-down riding, and any ancillary activity connected to B2B ᴄʏᴄʟɪɴɢ xᴘ®.

I acknowledge that no oral or written statement, representation, inspection, guideline, recommendation, itinerary, route support, aid station, mechanic support, neutral service, medical presence, guide presence, support vehicle, or organizational effort by the organizers or related parties shall be interpreted as eliminating, reducing, or transferring the risks that I voluntarily assume by participating in any B2B ᴄʏᴄʟɪɴɢ xᴘ® activity.

2. Participant Representations, Fitness, and Personal Responsibility

I represent, warrant, and confirm that I am physically and mentally capable of participating in the specific B2B ᴄʏᴄʟɪɴɢ xᴘ® experience, event, ride, route, or program in which I am participating, that I have adequately trained and prepared for the applicable activity, and that I am solely responsible for evaluating my own fitness, readiness, equipment, nutrition, hydration, and overall condition before and during participation.

I further represent that I have not been advised by a physician or other qualified healthcare provider not to participate in this type of activity, and that I do not suffer from any medical, physical, or psychological condition that would make my participation unusually dangerous to myself or others, except to the extent expressly disclosed by me through the corresponding registration or event process.

I acknowledge that I am solely responsible for the accuracy, completeness, and truthfulness of any information I provide in connection with my registration, rider profile, emergency contact information, medical disclosures, equipment information, travel-related information, and participation-related representations. I understand that any omission, inaccuracy, or false statement may increase risk and may result in denial of participation, removal from an activity, cancellation of services, or other appropriate action.

I agree that I am solely responsible for using a bicycle and equipment that are appropriate, safe, roadworthy, properly maintained, and compliant with the applicable rules, itinerary, route conditions, and technical requirements of the relevant activity. I acknowledge that the organizers do not inspect, certify, or guarantee the safety, condition, suitability, or performance of my bicycle, helmet, apparel, accessories, luggage, or equipment.

I understand and accept that I remain personally responsible for my riding decisions, pace, lane position, braking, visibility, signaling, fueling, hydration, medical management, risk awareness, compliance with route instructions, compliance with guide or support instructions, and conduct at all times before, during, and after the applicable activity.

3. Release and Waiver of Liability

To the maximum extent permitted by applicable law, I hereby voluntarily release, waive, discharge, and relinquish any and all claims, demands, causes of action, liabilities, damages, losses, costs, or expenses of any kind, whether known or unknown, suspected or unsuspected, fixed or contingent, that I may now have or may later have arising out of or relating in any way to my application, registration, booking, attendance, travel to or from, or participation in any B2B ᴄʏᴄʟɪɴɢ xᴘ® experience, tour, event, gran fondo, private ride, multi-day program, transfer, support activity, lodging-related activity, or ancillary service.

This release applies to HIRAM SERVICES & SOLUTIONS LLC, B2B ᴄʏᴄʟɪɴɢ xᴘ®, affiliated entities, local operating entities, authorized local operators, service providers, guides, sponsors, venue owners, hotels, transportation providers, municipalities, governmental authorities, route support providers, staff, contractors, volunteers, officials, mechanics, medics, neutral support personnel, feed zone personnel, media partners, and each of their respective owners, officers, directors, managers, employees, representatives, agents, successors, and assigns (collectively, the “Released Parties”).

This release includes, without limitation, claims arising from personal injury, illness, medical complications, disability, property damage, property loss, theft, delay, interruption, inconvenience, emotional distress, economic loss, wrongful death, or any other injury or loss allegedly caused by or related to route conditions, itinerary conditions, tour organization, participant conduct, third-party conduct, support services, traffic, weather, lodging conditions, transportation, aid stations, mechanical support, medical response, travel coordination, or any act or omission connected to the applicable activity.

To the maximum extent permitted by applicable law, I expressly waive any claim against the Released Parties based on ordinary negligence, premises-related risks, route-related conditions, itinerary-related conditions, organizational decisions, support limitations, third-party acts, or any other risk assumed by me under this agreement.

4. Covenant Not to Sue and Indemnification

I agree that I will not initiate, file, maintain, encourage, or assist any lawsuit, arbitration, claim, demand, or other legal or administrative proceeding against any of the Released Parties with respect to any matter released, waived, or assumed by me under this agreement.

I further agree to defend, indemnify, and hold harmless the Released Parties from and against any and all claims, liabilities, damages, losses, costs, expenses, judgments, settlements, penalties, and attorneys’ fees arising out of or relating to: (i) my acts or omissions; (ii) my participation in any B2B ᴄʏᴄʟɪɴɢ xᴘ® activity; (iii) my breach of this agreement; (iv) my violation of applicable rules, itinerary instructions, operational directives, or law; (v) my bicycle, equipment, luggage, or property; or (vi) any claim brought by a third party arising from my conduct, condition, representations, or participation.

This indemnification obligation shall survive the applicable activity and remain enforceable to the maximum extent permitted by applicable law.

5. Medical Authorization and Medical Costs

I authorize the organizers, affiliated entities, local operators, guides, staff, volunteers, medics, emergency personnel, transportation providers, lodging coordinators, and authorized representatives involved in any B2B ᴄʏᴄʟɪɴɢ xᴘ® experience to obtain, arrange, request, or facilitate emergency medical evaluation, first aid, transportation, treatment, hospitalization, or other medical services for me if, in their judgment, such action appears reasonably necessary or advisable.

I understand and agree that no Released Party assumes any duty to provide medical treatment, on-site care, evacuation, ambulance transport, medical monitoring, or continued assistance, and that any medical response or support may be delayed, limited, unavailable, interrupted, or insufficient under the circumstances.

I acknowledge that I remain solely responsible for carrying any personal insurance I deem necessary and for all costs and expenses arising from injury, illness, transport, hospitalization, medication, physician services, emergency services, evacuation, or any related medical care, whether or not such costs are covered by insurance.

I further authorize the disclosure, exchange, and use of limited medical, emergency, and participation-related information where reasonably necessary for rider safety, emergency response, triage, transport, operational decision-making, or medical assistance in connection with the applicable activity.

I agree that organizers, guides, medics, officials, or authorized safety personnel may, in their discretion, suspend, restrict, or terminate my participation if they believe that continuing would create an unreasonable risk to my health, safety, or the safety of others.

6. Event Rules, Equipment, and Compliance

I agree to review, understand, and comply with all applicable event rules, tour rules, technical requirements, route instructions, rider briefings, safety guidelines, lodging-related instructions, transfer instructions, support vehicle instructions, equipment requirements, operational directives, and any other written or verbal instructions communicated by authorized B2B ᴄʏᴄʟɪɴɢ xᴘ® personnel, local operators, guides, or service providers.

I understand that activities may take place on open or partially controlled public roads, in rural or urban areas, in remote regions, and under changing environmental, traffic, and route conditions, and that I remain responsible at all times for riding prudently, obeying lawful instructions, respecting applicable traffic controls, maintaining situational awareness, and acting in a manner consistent with rider safety and responsible road use.

I agree to wear an approved cycling helmet at all times while riding in connection with the applicable activity and to use only equipment that is appropriate for the course, terrain, climate, itinerary, and demands of the experience. I understand that the organizers may impose mandatory equipment, visibility, identification, hydration, nutrition, luggage, timing, or safety requirements.

I further understand that support services, guides, aid stations, mechanic support, neutral assistance, support vehicles, lodging coordination, and route marshaling are provided as operational resources only and do not eliminate my personal responsibility for equipment readiness, self-care, pacing, navigation awareness, fueling, hydration, and risk management.

7. Removal, Disqualification, and Safety Decisions

I acknowledge and agree that the organizers of B2B ᴄʏᴄʟɪɴɢ xᴘ®, including their authorized officials, guides, safety personnel, medics, route directors, operations staff, and representatives, may deny my application, refuse my participation, remove me from an activity, require me to stop riding, redirect me, shorten my route, alter my itinerary participation, or disqualify me at any time, with or without prior notice, if they determine, in their sole but reasonable discretion, that such action is necessary for safety, rule enforcement, operational integrity, medical reasons, misconduct, misrepresentation, inability to meet activity requirements, equipment concerns, or any other activity-related reason.

I agree to comply immediately with any such instruction or decision and acknowledge that any refusal or failure to comply may increase risk, create operational disruption, or result in additional removal measures.

To the maximum extent permitted by applicable law, I waive any claim arising out of any good-faith decision to deny, restrict, terminate, or condition my participation for safety, operational, disciplinary, medical, or organizational reasons.

8. Event Modification, Delay, Suspension, or Cancellation

I acknowledge that any B2B ᴄʏᴄʟɪɴɢ xᴘ® experience, event, ride, tour, itinerary, route, schedule, lodging arrangement, transfer, support plan, or related service may be modified, delayed, suspended, shortened, rerouted, substituted, or cancelled in whole or in part due to weather, road conditions, traffic issues, governmental restrictions, force majeure, public safety concerns, health-related risks, acts of third parties, operational constraints, provider limitations, insufficient participation, security concerns, natural events, labor disruptions, civil disturbances, accidents, or any other condition that, in the organizers’ judgment, may affect safety, feasibility, legality, or proper execution.

I understand and agree that the organizers reserve the right to make such decisions in their discretion and that no guarantee is made regarding route continuity, distance, schedule, support availability, timing, lodging continuity, transportation continuity, or completion under originally announced conditions.

Any rights relating to refunds, credits, transfers, deferrals, cancellations, or rebooking shall be governed exclusively by the applicable booking, registration, cancellation, and refund policies published for the applicable experience or service. Nothing in this waiver shall be interpreted as creating an independent right to a refund, reimbursement, compensation, damages, or recovery of incidental or consequential expenses arising from any modification, delay, suspension, rerouting, substitution, or cancellation.

9. Media Release

I acknowledge that during or in connection with any B2B ᴄʏᴄʟɪɴɢ xᴘ® experience, tour, event, ride, or related activity, I may be photographed, filmed, recorded, interviewed, livestreamed, or otherwise captured in visual, audio, or audiovisual format.

I hereby grant to HIRAM SERVICES & SOLUTIONS LLC, B2B ᴄʏᴄʟɪɴɢ xᴘ®, affiliated entities, event partners, tour partners, sponsors, media partners, and their respective licensees, successors, and assigns, the irrevocable, worldwide, royalty-free right and permission to use, reproduce, publish, distribute, display, edit, adapt, transmit, archive, and otherwise exploit my name, image, voice, likeness, appearance, statements, and performance in any media now known or later developed, for promotional, documentary, editorial, commercial, archival, social media, website, advertising, publicity, and experience-related purposes, without additional notice, approval, or compensation.

I waive any right to inspect or approve the final use of such materials and release the foregoing parties from any claim arising out of the lawful use of such content in accordance with this authorization.

10. General Legal Terms

This agreement shall be interpreted to the maximum extent permitted by applicable law so as to give full force and effect to the assumption of risk, release of liability, covenant not to sue, indemnification obligations, medical authorization, and related protections contained herein.

If any provision of this agreement is held to be invalid, unenforceable, or limited in any respect, the remaining provisions shall remain in full force and effect to the maximum extent permitted by applicable law, and any invalid or unenforceable provision shall be interpreted or limited only to the extent necessary to make it enforceable where possible.

This agreement is intended to be binding upon me and, where permitted by law, upon my heirs, estate, representatives, successors, assigns, next of kin, and any person or entity claiming through me or on my behalf.

I acknowledge that this agreement may be presented, accepted, and stored electronically, and that my electronic acceptance, combined with the applicable registration process and supporting electronic records, shall have the same legal force and effect as a written signature to the maximum extent permitted by applicable law.

In the event of any inconsistency between translated versions of this agreement, the English-language version shall control unless the organizers expressly designate another version as controlling in writing.
