INTRODUCTION

Terms and Conditions, any reference to “B2B ᴄʏᴄʟɪɴɢ xᴘ®” refers to a division of HIRAM SERVICES & SOLUTIONS S. DE R.L. DE C.V. its subsidiaries and affiliates, B2B events ᴄʏᴄʟɪɴɢ xᴘ®, all products, all services (paid and/or free), its staff, employees, subcontractors, agents and representatives.

All reference to the “B2B ʏʟɪɴɢ x® Client”, “Customers”, “Participants” “Riders” or “Client” refers to business partners clients (Tour Operators, Coaching Companies, …) and End-Consumers who are purchasing directly on our website. All are bound, as a condition, to comply with the rules set out below.

OFFER DESCRIPTION

The B2B ᴄʏᴄʟɪɴɢ xᴘ® offer is composed of the following products:

1.1  Cycling Experiences; The B2B ᴄʏᴄʟɪɴɢ xᴘ® experiences are characterized by being challenging in distance and/or altimetry, within an exclusive environment for a small group of cyclists, with; attention and personalized service, food and beverages of the highest quality and presentation, medical assistance, mechanics and escort vehicles at all times.

1.2 Special events: Designed to take cyclists out of their routine without neglecting their training program and adding a surprise factor making their attendance an unforgettable experience. We craft our cycling experiences thinking on our clients´ sport and recreational wishes. These experiences are designed for all cyclists who have tried all kind of massive events, have reached their sport goals but still looking for new adventures, opportunities to meet people to network with and perhaps stablishing new business conversations or just making new friends while challenging their selves in demanding routes but also indulging their selves in paradisiacal destinations.

1.3 B2B Rides; The date of these rides are published and updated throughout the year on the B2B ᴄʏᴄʟɪɴɢ xᴘ® web page. These rides are characterized by being really challenging routes that require an advanced level in cycling to be able to complete them and serve as preparation for “The cycling experiences” and “The special events” of B2B ᴄʏᴄʟɪɴɢ xᴘ®.

1.4 Training Programs; On-demand and personalized B2B ᴄʏᴄʟɪɴɢ xᴘ® training programs aim to help independent athletes achieve their sport goals. Also designed for teams that are training for specific competitions. We help you achieve your goals by analyzing, understanding and designing training programs based on your characteristics and adapting the sessions as similar as possible to the route and weather conditions of the competition. We offer 3 different types of training programs; Explore, On Track and Active Recovery for different levels of performance and skills.

1.5 B2B ᴄʏᴄʟɪɴɢ xᴘ® Merchandising offers a range of products available on our e-store

1.6  B2B ᴄʏᴄʟɪɴɢ xᴘ® Clasicas de Otoño Pass allows its holder to register to any of the included B2B ᴄʏᴄʟɪɴɢ xᴘ® experiences in the current year without having to pay any supplementary entry fee.

1.7  Extra-services, such as accommodation packages, “friends & family” packages and any other paying option not included in the event entry fees, are not included in the B2B ᴄʏᴄʟɪɴɢ xᴘ® Experiences or Clásicas de Otoño Pass and need to be purchased separately.

IMPORTANT: This list is subject to modifications. B2B ᴄʏᴄʟɪɴɢ xᴘ® retains the right to add new events to the list or cancel events in the conditions stated in Section 14 hereafter.

B2B ᴄʏᴄʟɪɴɢ xᴘ® CONDITIONS OF SALE

Period of sale: B2B ᴄʏᴄʟɪɴɢ xᴘ® Offer are on sale from December 31st, 2023 until the annual quota of entries, extra-services, for sale are reached and publicly announced by B2B ᴄʏᴄʟɪɴɢ xᴘ® as “Sold Out”.

No exception will be made to this rule and therefore no extra quotas will be added. Nevertheless, B2B ᴄʏᴄʟɪɴɢ xᴘ® keeps the right to organize waiting list in order to propose entries and extra-services packages in case of Clients’ cancellation

IMPORTANT: The B2B ᴄʏᴄʟɪɴɢ xᴘ® Products (Clasicas de Otoño Pass included) are sold on a first come, first served basis.

PLACING AN ORDER

To place an Order, Client must be 18 years of age or over.

Client may place an Order by:

  • Filling in the Order Form on the B2B ᴄʏᴄʟɪɴɢ xᴘ® Web Site after logging into or creating a personal account and clicking on the “Add to cart” button;
  • B2B ᴄʏᴄʟɪɴɢ xᴘ® will not accept Orders placed in any way other than those listed above.

When Client places an order, B2B ᴄʏᴄʟɪɴɢ xᴘ® will issue a Web Confirmation Order Number. B2B ᴄʏᴄʟɪɴɢ xᴘ® will do this via the B2B ᴄʏᴄʟɪɴɢ xᴘ® Web Site.

By placing an Order, Client makes an offer to B2B ᴄʏᴄʟɪɴɢ xᴘ® to purchase the Products Client have selected on these terms and conditions. B2B ᴄʏᴄʟɪɴɢ xᴘ® may or may not accept Client’s offer at B2B ᴄʏᴄʟɪɴɢ xᴘ® discretion.

If B2B ᴄʏᴄʟɪɴɢ xᴘ® accept Client’s Order, B2B ᴄʏᴄʟɪɴɢ xᴘ® will notify Client of its acceptance by issuing an Order Confirmation. B2B ᴄʏᴄʟɪɴɢ xᴘ® will send Client’s Order Confirmation to Client by e-mail provided Client have indicated an e-mail address on Client’s Order Form. The Order Confirmation will be effective on sending. If B2B ᴄʏᴄʟɪɴɢ xᴘ® cannot accept Client’s Order B2B ᴄʏᴄʟɪɴɢ xᴘ® will attempt to contact Client by email or telephone.

Regarding Merchandising products; Whilst B2B ᴄʏᴄʟɪɴɢ xᴘ® will make every effort to supply Client with the Products listed on the Order Confirmation, there may be occasions where B2B ᴄʏᴄʟɪɴɢ xᴘ® is unable to supply these Products. In such circumstances, B2B ᴄʏᴄʟɪɴɢ xᴘ® will contact Client to inform him/her and may suggest alternative Products that Client might wish to purchase. If Client accept B2B ᴄʏᴄʟɪɴɢ xᴘ® suggestions, then B2B ᴄʏᴄʟɪɴɢ xᴘ® will send Client a revised Order Confirmation. If Client does not accept B2B ʏʟɪɴɢ x®’s suggestions, then B2B ᴄʏᴄʟɪɴɢ xᴘ® will cancel Client’s Order in relation to those Products if B2B ᴄʏᴄʟɪɴɢ xᴘ® cannot supply and repay Client’s any money that he/she has paid in respect of those Products. Repayment of such monies will be the extent of B2B ʏʟɪɴɢ x®’s liability to Client if B2B ᴄʏᴄʟɪɴɢ xᴘ® is unable to deliver to Client the Products he has ordered.

Information contained in B2B ᴄʏᴄʟɪɴɢ xᴘ® advertising, brochures, other written materials, on B2B ᴄʏᴄʟɪɴɢ xᴘ® web site or given to Client by B2B ʏʟɪɴɢ x®’s agents or employees constitutes an invitation to treat. No such information constitutes an offer by B2B ᴄʏᴄʟɪɴɢ xᴘ® to supply any Products, always in accordance with our terms and conditions.

PRICES 

The price for the Products will be the price indicated on Client Invoice.

Delivery costs, when applicable, are payable as indicated on your Invoice.

Some Service Fee (5%) will be charged to client at the registration period.

PAYING FOR YOUR PRODUCTS

The B2B ᴄʏᴄʟɪɴɢ xᴘ® Products are only sold in Mexican Pesos

Client may pay for Client’s Products by the methods of payment as may be displayed on the payment section of the B2B ᴄʏᴄʟɪɴɢ xᴘ® Web Site.

If Client is paying by credit card, then Client must supply credit card details when Client places his Order. Client’s credit card will be charged when B2B ᴄʏᴄʟɪɴɢ xᴘ® issues Client’s Invoice. B2B ᴄʏᴄʟɪɴɢ xᴘ® reserves the right to verify the identity of the credit card holder by requesting appropriate documentation.

B2B ᴄʏᴄʟɪɴɢ xᴘ® will send request for payment, Invoice, and Products at the billing address indicated on Order Confirmation. B2B ᴄʏᴄʟɪɴɢ xᴘ® may, however, only send the documents by e-mail where Client has indicated an e-mail address on Order Form.

PURCHASE CONFIRMATION

7.1. After each purchase made on B2B ᴄʏᴄʟɪɴɢ xᴘ® e-commerce platform, Client will receive a confirmation email with his invoice and the detail of his order.

7.2. In addition, Client will have access to his historical background and details information on his Client Account space.

7.3. IMPORTANT: Clasicas de Otoño pass Members are informed that their membership does guarantee availability on the 3 events at all time. Members are informed that B2B ᴄʏᴄʟɪɴɢ xᴘ® events could be sold-out very early after the registrations open.

SPECIFIC EVENT REGISTRATION CONDITIONS

The B2B ᴄʏᴄʟɪɴɢ xᴘ® Experiences Registered Clients are informed that each B2B ᴄʏᴄʟɪɴɢ xᴘ® Experiences can require specific conditions to register. These conditions are mentioned in the Rules and Regulations of each Event and listed in the Event information section.

NO TRANSFERABLE PRODUCTS

The B2B ᴄʏᴄʟɪɴɢ xᴘ® Experiences (entries, Clasicas de Otoño Passa & Extra-services) are nominative. They cannot be transferred to anyone else and/or to the year after, under any circumstances. Each Experience & Extra-Service are issued in the Client’s name and can only be used by the Client. Identity checks will be made systematically at the registration day of each event.

Any unauthorized use of the B2B ᴄʏᴄʟɪɴɢ xᴘ® Experiences (entries, Clasicas de Otoño Passa & Extra-services) will result in immediate cancellation of the entry and extra-services with no compensation of any kind.

The B2B ᴄʏᴄʟɪɴɢ xᴘ® Clasicas de Otoño pass is an annual nominative pass. It cannot be transferred to anyone else and/or to the year after, under any circumstances. Each pass is issued in the Client’s name and can only be used by the Client. Identity checks will be made systematically at the registration day of each event.

Any unauthorized use of the B2B ᴄʏᴄʟɪɴɢ xᴘ® Clasicas de Otoño pass will result in immediate cancellation of the pass and the immediate cancellation of the Client’s event registrations with no compensation of any kind.

NO REFUNDABLE PRODUCTS

The B2B ᴄʏᴄʟɪɴɢ xᴘ® Experiences (entries, Clasicas de Otoño Passa & Extra-services) are not refundable under any circumstances. Each B2B ᴄʏᴄʟɪɴɢ xᴘ® Client may, at his/her own discretion and expense, obtain personal insurance for loss, injury or damage that he/she might sustain arising from its participation to an B2B ᴄʏᴄʟɪɴɢ xᴘ® Experience.

The B2B ᴄʏᴄʟɪɴɢ xᴘ® Clasicas de Otoño pass is not refundable under any circumstances. Each B2B ᴄʏᴄʟɪɴɢ xᴘ® “Clasicas de Otoño pass” Client may, at his/her own discretion and expense, obtain personal insurance for loss, injury or damage that he/she might sustain arising from use of the Clasicas de Otoño pass

INSURANCE

B2B ᴄʏᴄʟɪɴɢ xᴘ® proposes a cancellation insurance solution with a Third-Party provider. Therefore, if Client opts for such an insurance solution, Client needs to check the dedicated Terms& Conditions for this before the payment confirmation.

There is no cancellation insurance available for Clasicas de Otoño Pass clients.

All Clients may, at their own discretion and expense, obtain personal insurance for loss, injury or damage that they might sustain arising from participation to an B2B ᴄʏᴄʟɪɴɢ xᴘ® event. Clients ride at their own discretion and accept any injury or illness brought by their practice

VERIFICATION OF THE PASSES (ONLY FOR CLASICAS DE OTOÑO PASS)

Each pass is issued in the holder’s name and may be used only by the person whose name appears on the card.

Clasicas de Otoño Pass check will be done on each event at the registration day by B2B ᴄʏᴄʟɪɴɢ xᴘ® staff.

SCOPE OF THE SERVICES

The benefits provided by the Clasicas de Otoño Pass may include additional services proposed during the entire series of events and/or on each event by B2B ᴄʏᴄʟɪɴɢ xᴘ® and/or B2B ᴄʏᴄʟɪɴɢ xᴘ® partners.

In addition, all services provided on each event will be automatically included for free for Clasicas de Otoño Pass Holder (massages, meals…) at the exception of the B2B ᴄʏᴄʟɪɴɢ xᴘ® Apparel (one kit per Clasicas de Otoño Pass Member and per season). SUSPENSION AND CANCELLATION/TERMINATION

B2B ᴄʏᴄʟɪɴɢ xᴘ® Experiences (events)

Termination by B2B ʏʟɪɴɢ x®. If B2B ᴄʏᴄʟɪɴɢ xᴘ® cancels the Event more than twenty (20) Business Days from the Event Date, B2B ᴄʏᴄʟɪɴɢ xᴘ® shall return the full amount of any deposits and pre-payments to Client made according to the amount invoiced to Client. No compensation will be given to Client for other costs (direct or indirect) related to the purchase of any of the product of the B2B ᴄʏᴄʟɪɴɢ xᴘ® Offer (transportation fee, accommodation (if not taken with B2B ʏʟɪɴɢ x®), family expenses (travel, hotels) except linked products offered by the B2B ʏʟɪɴɢ x®.

Late Termination by B2B ʏʟɪɴɢ x®. If B2B ᴄʏᴄʟɪɴɢ xᴘ® cancels the Event less than twenty (20) Business Days from the Event Date, B2B ᴄʏᴄʟɪɴɢ xᴘ® shall return the full amount of any deposits and pre-payments to Client made according to the amount invoiced to Client plus a 20% discount on any B2B ᴄʏᴄʟɪɴɢ xᴘ® Experiences. No other compensation will be given to Client for other costs (direct or indirect) related to the purchase of any of the product of the B2B ᴄʏᴄʟɪɴɢ xᴘ® Offer (transportation fee, accommodation (if not taken with the B2B ʏʟɪɴɢ x®), family expenses (travel, hotels) except linked to products offered by the B2B ʏʟɪɴɢ x®.

B2B ᴄʏᴄʟɪɴɢ xᴘ® Clasicas de Otoño Pass

For Clasicas de Otoño Pass Clients, B2B ᴄʏᴄʟɪɴɢ xᴘ® shall have the right to suspend participation, or cancel the membership, if a Member (i) fails to pay its annual fees on time, or (ii) violates any of the B2B ᴄʏᴄʟɪɴɢ xᴘ® Rules and Regulations and fails to correct that breach within ten (10) days of notice from B2B ᴄʏᴄʟɪɴɢ xᴘ® or the B2B ᴄʏᴄʟɪɴɢ xᴘ® staff, or (iii) substantially, flagrantly or repeatedly violates any of the B2B ᴄʏᴄʟɪɴɢ xᴘ® Rules & Regulations. No refunds of Membership fees or other payments will be given. Always in accordance with our terms and conditions.

FORCE MAJEURE

B2B ᴄʏᴄʟɪɴɢ xᴘ® shall not be liable hereunder by reason of any failure or delay in the performance of its obligations hereunder on account of Pandemic, strikes, shortages, riots, insurrection, fires, flood, storm, explosions, acts of God, war, governmental action, labor conditions, earthquakes or any other cause which is beyond the reasonable control of B2B ʏʟɪɴɢ x®.

PRIVACY AND DATA

By placing an Order, Client agree that B2B ᴄʏᴄʟɪɴɢ xᴘ® may store, process and use data collected from Client Order Form for the purposes of processing Client’s Order. Some of the information Client provides to B2B ᴄʏᴄʟɪɴɢ xᴘ® will be passed to the companies B2B ᴄʏᴄʟɪɴɢ xᴘ® uses for some Extra-Services Products to Client. If Client so indicates on the appropriate section of Client’s Order Form, by placing Client Order, Client also agrees that B2B ᴄʏᴄʟɪɴɢ xᴘ® may transfer such data to other companies in the B2B ᴄʏᴄʟɪɴɢ xᴘ® group of companies or to companies whose products are available for purchase on The B2B ᴄʏᴄʟɪɴɢ xᴘ® Store in order to provide Client with information from time to time on other products and services that may be of interest to Client. If Client does not agree to B2B ᴄʏᴄʟɪɴɢ xᴘ® transferring such data to such companies in order to provide Client with information on other B2B ᴄʏᴄʟɪɴɢ xᴘ® or third-party products and services, Client should indicate his non-agreement on the appropriate section of Client Order Form. Client may obtain a copy of the data held by B2B ᴄʏᴄʟɪɴɢ xᴘ® concerning Client on request in writing. B2B ᴄʏᴄʟɪɴɢ xᴘ® reserves the right to charge an administration fee for processing such request. If any data held by B2B ᴄʏᴄʟɪɴɢ xᴘ® concerning Client is incorrect, B2B ᴄʏᴄʟɪɴɢ xᴘ® will correct it on Client’s written request.

B2B ᴄʏᴄʟɪɴɢ xᴘ® acts in accordance with Mexican Data Regulation law and will not pass on or sell your personal information and have no intention of sharing your data with third-parties for marketing purposes.

LIMITATION OF LIABILITY

IN NO EVENT WILL B2B ᴄʏᴄʟɪɴɢ xᴘ® BE LIABLE TO CLIENTS OR THIRD PARTY UNDER THIS AGREEMENT FOR THE COST OF PROCURING SUBSTITUTE GOODS OR SERVICES, LOST PROFITS, LOST REVENUE, LOST SALES, LOSS OF USE, LOSS OF DATA OR ANY INCIDENTAL, CONSEQUENTIAL, DIRECT, INDIRECT, PUNITIVE, OR SPECIAL DAMAGES, WHETHER OR NOT SUCH PARTY HAD ADVANCE NOTICE OF THE POSSIBILITY OF SUCH LOSSES OR DAMAGES. EXCEPT FOR MEMBER’S DUES COMMITMENT, OR IN CASES OF WILLFUL MISCONDUCT OR GROSS NEGLIGENCE, OR WHERE REQUIRED BY APPLICABLE LAW, THE AGGREGATE LIABILITY OF B2B ᴄʏᴄʟɪɴɢ xᴘ® TO CLIENTS AND TO OTHER PARTIES, SHALL NOT EXCEED THE PAST 12 MONTHS MEMBERSHIP FEES PAID BY THE CLASICAS DE OTOÑO PASS MEMBERS TO B2B ʏʟɪɴɢ x®.
